Website Terms of Service

1. Scope and acceptance

These Terms of Service ("Terms") govern your access to and use of Snip's website located at withsnip.com ("Website"). These Terms apply to Website Visitors and do not govern Snip's service engagements, which are governed exclusively by the Master Services Agreement and applicable Project Document executed between Snip and each client.

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

These Terms do not govern Snip's service delivery. If you are a Snip client, your rights and obligations are defined by your signed Master Services Agreement, which controls in all matters related to services.

2. Website content — accuracy and limitations

2.1 Informational purpose. The Website is for informational purposes only. All content, including service descriptions, pricing ranges, client result references, and guarantee descriptions, is provided to describe Snip's offerings in general terms.

2.2 Not a contract. Nothing on the Website constitutes an offer, contract, guarantee, or binding commitment. Service terms are established exclusively through signed Master Services Agreements and Project Documents.

2.3 No specific result warranty. Any performance data, client results, or projections referenced on the Website are illustrative examples. They are not guarantees or predictions of results for any specific engagement. Results vary based on client-specific factors including advertising spend, market conditions, ad creative quality, and operational performance.

2.4 Accuracy. Snip makes reasonable efforts to keep Website content accurate and current. However, Snip does not warrant the completeness, accuracy, or timeliness of any Website content. Pricing and service descriptions on the Website are subject to change without notice and may not reflect current pricing applicable to your engagement.

2.5 No legal or professional advice. Nothing on the Website constitutes legal, financial, advertising compliance, or professional advice of any kind.

3. Intellectual property

3.1 Snip's content. All Website content — including text, graphics, logos, page layouts, service descriptions, methodology descriptions, and case studies — is owned by or licensed to Gulzat Bekturganova, d/b/a Snip, and is protected by applicable intellectual property law.

3.2 Permitted use. You may access and view the Website for your own informational purposes. You may not: (a) copy, reproduce, distribute, or republish any Website content without Snip's prior written consent; (b) use Website content for competitive intelligence gathering; (c) scrape, crawl, or extract Website content through automated means; or (d) use Snip's name, logo, or brand assets without prior written consent.

3.3 Feedback. If you submit suggestions, feedback, or ideas about Snip's services, you grant Snip a non-exclusive, royalty-free, perpetual right to use that feedback for any business purpose without compensation or attribution.

4. Contact form and communications

4.1 Not confidential. Information submitted through the Website contact form is not confidential unless a separate confidentiality agreement is in place. Do not submit sensitive personal or financial information through the Website contact form.

4.2 No engagement created. Submitting a contact form, requesting a call, or receiving a response from Snip does not create a client relationship or any obligation on either party. A client relationship is established only upon execution of a Master Services Agreement and Project Document.

5. Prohibited conduct

You agree not to:

  • Use the Website for any unlawful purpose;
  • Interfere with or disrupt the Website's operation or infrastructure;
  • Attempt to gain unauthorized access to any portion of the Website or its underlying systems;
  • Transmit malicious code, viruses, or harmful data through the Website;
  • Impersonate Snip, Gulzat Bekturganova, or any other person in connection with the Website;
  • Use the Website to harvest contact information for unsolicited communications; or
  • Engage in any conduct that Snip reasonably determines to be harmful to the Website, other users, or Snip's business.

6. Disclaimers

6.1 As-is website. THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SNIP DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6.2 Service guarantees not affected. This disclaimer does not affect any express service guarantees set forth in a separately signed Master Services Agreement and Project Document. The Website disclaimer applies only to use of the Website itself, not to contracted services.

7. Limitation of liability

7.1 Liability cap. SNIP'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE WEBSITE OR RELIANCE ON WEBSITE CONTENT IS LIMITED TO ONE HUNDRED DOLLARS ($100.00).

7.2 Exclusion of consequential damages. IN NO EVENT WILL SNIP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Basis of bargain. You acknowledge that the limitations in this Section are a material condition of Snip's making the Website available at no charge.

8. Third-party links

The Website may contain links to third-party websites. Snip is not responsible for the content, accuracy, privacy practices, or any other aspect of third-party websites. Links do not constitute endorsement.

9. Privacy

Your use of the Website is also governed by Snip's Privacy Policy, which is incorporated into these Terms by reference.

10. Governing law and dispute resolution

10.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

10.2 Arbitration. Any dispute arising from these Terms or your use of the Website (other than claims within the jurisdictional limit of Dallas County, Texas Small Claims Court) is resolved by binding arbitration under AAA Commercial Arbitration Rules, Dallas County, Texas, before a single arbitrator.

10.3 Small claims. Either party may bring a claim within the jurisdictional limit of the Dallas County, Texas Small Claims Court in that court without first arbitrating.

10.4 Class action waiver. All disputes are resolved on an individual basis. No class action or collective proceeding is permitted.

10.5 Injunctive relief. Either party may seek injunctive relief from a court of competent jurisdiction without first arbitrating, where necessary to prevent irreparable harm.

11. Modifications

Snip may modify these Terms at any time by updating this page and revising the "Effective" date above. Your continued use of the Website after the modification effective date constitutes acceptance of the revised Terms.

12. Termination of access

Snip may suspend or terminate your access to the Website at any time, for any reason, without notice or liability.

13. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Snip with respect to your use of the Website. They supersede all prior agreements and representations regarding Website use. For service engagements, the Master Services Agreement and Project Document control exclusively.

14. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, it is modified minimally or severed, without affecting the validity of the remaining Terms. Snip's failure to enforce any provision does not constitute a waiver.
